DELACOUR, partner Carl Erik Sørensen and associated partner Morten Brehm Jensen have assisted in connection with sale of the company to a Danish buyer. 

Our work has comprised:

  • Planning in relation to the legal, strategic and commercial aspects of the sales process
  • Determination of the structure/schedule of the transfer process
  • Review of the company’s affairs prior to the sale (seller’s due diligence)
  • Preparation of letters of intent, secrecy and confidentiality agreements
  • Project management in all stages of the sale
  • Establishing and facilitating of data room (virtual), including coordination of replies to requests, attending Q&A sessions and management presentations
  • Preparation and negotiation of transfer agreements and other documents pertaining to the transfer
  • Completion of closing
