DELACOUR, partner Carl Erik Sørensen and associated partner Morten Brehm Jensen have assisted in connection with sale of the company to a Danish buyer.
Our work has comprised:
- Planning in relation to the legal, strategic and commercial aspects of the sales process
- Determination of the structure/schedule of the transfer process
- Review of the company’s affairs prior to the sale (seller’s due diligence)
- Preparation of letters of intent, secrecy and confidentiality agreements
- Project management in all stages of the sale
- Establishing and facilitating of data room (virtual), including coordination of replies to requests, attending Q&A sessions and management presentations
- Preparation and negotiation of transfer agreements and other documents pertaining to the transfer
- Completion of closing
